1. General provisions

Within the framework of these General Terms and Conditions of Sale (hereinafter the “GTC”), the term “Product” refers to all products supplied by Win4LED SRL as well as any services that may be provided by Win4LED SRL for the benefit of its customer (hereinafter the “Buyer”).

​

The GTC apply to all Products supplied by Win4LED SRL to the Buyer, for any delivery in Belgium, and are sent to, provided to, or made available to the Buyer on the website [https://win4led.be] of Win4LED SRL (hereinafter the “E-Shop”), prior to the placement of any order.

​

Any order placed by the Buyer implies unconditional and unrestricted acceptance of these GTC, subject to any specific conditions that may have been negotiated between the parties.

​

The Buyer’s general purchasing conditions or any other documents are not binding on Win4LED SRL without its prior written agreement.

​

The description of the Products, as well as their characteristics, dimensions, shapes, or structures mentioned in the various documents of Win4LED SRL, are provided for information purposes only and have no contractual value for Win4LED SRL, which reserves the right to make any changes it deems necessary without prior notice.

​

The fact that Win4LED SRL does not invoke one of these conditions at a given time shall not be interpreted as a waiver of its right to invoke it at a later date.

​

2. Prices

​

2.1 Terms of sale

​

Except for those indicated on the E-Shop, the prices of the Products shown in Win4LED SRL’s catalogs, brochures, and price lists are provided for information purposes only, excluding VAT, end-of-life recovery and recycling costs in accordance with legal provisions, and applicable transport charges. The applicable VAT rate is the one in force at the time of delivery.

The Products are invoiced upon delivery at the prices and under the conditions in force on the date of the Buyer’s order.

​

Any order with a value of less than eighty (80) euros excluding VAT shall be subject to an additional flat fee of eighty (80) euros excluding VAT as a contribution to administrative costs.

​

2.2 Disposal of waste from electrical and electronic equipment

​

Win4LED SRL fulfills its obligations regarding the collection and treatment of waste electrical and electronic equipment (WEEE) in accordance with Belgian law, through its membership in an approved eco-organization (for example, RECUPEL).

​

Part 2 : Articles 3 (Intellectual Property) and 4 (Orders)

​

3. Intellectual Property

​

Win4LED SRL retains all intellectual and industrial property rights relating to the Products, projects, studies, plans, models, and any documents issued and/or communicated to the Buyer. Any reproduction or communication, even in part, is prohibited without the prior written authorization of Win4LED SRL.

​

Unless otherwise stated, Win4LED SRL is (i) the holder of all copyrights attached to the works reproduced on the E-Shop, including, without limitation, texts, images, and/or photographs, and/or (ii) the owner of the trademarks and/or logos reproduced on the E-Shop (hereinafter collectively referred to as the “Elements”).

​

Consequently, any use and/or reproduction of the Elements must be authorized in advance and in writing by Win4LED SRL.

​

By way of derogation from the above, the Buyer is authorized to download, reproduce, and/or print them provided that they undertake to:

• (i) use the Elements solely for their own needs, excluding any other use, in particular any commercial use,

• (ii) not modify the Elements,

• (iii) include the copyright notice of Win4LED SRL on any copy and/or reproduction.

4. Orders

​

4.1 Product destination

​

The Buyer, in their capacity as a professional, defines their own needs as well as the intended use of the Products ordered and their suitability for those needs. In this respect, Win4LED SRL is not subject to any advisory obligation. Win4LED SRL’s duty to advise is strictly limited to presenting, prior to the order, all available Product options that meet the selection criteria defined by the Buyer within the framework of their project.

​

By way of derogation from the above, Win4LED SRL may, at the Buyer’s express request, respond to their inquiries or questions by providing the information it has or is aware of, and by presenting the various Products suited to their project.

​

Win4LED SRL reminds the Buyer that any information and/or presentations it may provide are based on the data supplied by the Buyer. In this context, it is the Buyer’s responsibility to ensure that the information provided is complete, verified, final, and fully reliable, as Win4LED SRL is not required to verify such information or obtain additional details.

​

4.2 Offers and quotations

​

Win4LED SRL may offer Buyers, particularly those providing installation or consultancy services to their own clients, specific terms in the form of offers or quotations.

​

The validity period of Win4LED SRL’s offers and quotations is 90 days from their date of issue.

​

These offers may be revised in accordance with the revision formulas specified in the proposals.

​

4.3 Product availability

​

Our Products are offered for sale while stocks last.

​

In the event of an order for an unavailable Product, the Buyer will be informed of this unavailability either directly on the E-Shop or, as soon as possible, by any means deemed appropriate by Win4LED SRL.

​

4.4 Written order – Product references

​

Any order, which constitutes a purchase offer from the Buyer, must be submitted in writing to Win4LED SRL or via the E-Shop.

​

The exact and complete reference of the Product as listed in our catalogs and price lists must be specified for any order placed offline.

​

Any order becomes final only after written acceptance has been issued by Win4LED SRL.

​

4.5 Order modification

​

Any order modification requested by the Buyer must be subject to the prior written approval of Win4LED SRL. Such modification may, where applicable, result in additional invoicing or the issuance of a credit note.

​

4.6 Orders placed via the E-Shop

​

Without prejudice to any other provision of the GTC, in order to access the E-Shop, the Buyer must identify themselves by entering their username and password (hereinafter the “Login Credentials”).

​

Any order placed by the Buyer via the E-Shop implies their unconditional acceptance of the E-Shop’s general terms of use, which must be accepted in advance.

​

Any person using the Buyer’s Login Credentials is deemed to be authorized to enter into legal transactions binding the​ Buyer vis-à-vis Win4LED SRL.

​

Orders placed via the E-Shop constitute a firm purchase offer. Win4LED SRL acknowledges receipt of the order by email. This acknowledgment of receipt does not constitute acceptance. Acceptance occurs through a separate confirmation (order confirmation or shipping confirmation).

​

The Buyer is responsible for the accuracy of their contact details (email address, postal address, etc.).

​

Win4LED SRL’s electronic records constitute admissible evidence between the parties.

​

Part 3 : Articles 5 (Shipments and Deliveries) and 6 (Product Returns)

​

5. Shipments and deliveries

​

5.1 Shipments

​

Our shipments are delivered carriage and packaging paid for any single order to be delivered in Belgium in one shipment, with a net amount of at least five hundred (500) euros excluding VAT and environmental contribution.

​

For any order below this threshold delivered in Belgium in a single shipment, Win4LED SRL will invoice a flat contribution of eighty (80) euros excluding VAT, corresponding to a share of the transport costs.

​

Our carriage-paid and packaging-included shipments, as well as shipments with freight charges due, are always unloaded by the recipient.

​

5.2 Deliveries and lead times

​

Any delivery is carried out either by direct handover to the Buyer, by simple notice of availability, or by delivery to a forwarder or carrier chosen by Win4LED SRL at its warehouses or branches, unless a specific agreement has been expressly accepted by Win4LED SRL.

​

Delivery times are provided for information purposes only and are not binding on Win4LED SRL.

​

In the event of a delay, no compensation may be claimed unless in the case of gross negligence on the part of Win4LED SRL.

​

Win4LED SRL reserves the right to carry out deliveries in whole or in part, regardless of the preference expressed by the Buyer on their order form or on the E-Shop.

​

5.3 Transport

​

Our Products travel at the Buyer’s risk and expense from the warehouse, regardless of the sales conditions, the mode of transport, and the shipping arrangements, in particular in the case of carriage-paid sales.

​

It is the responsibility of the recipient to release the final carrier only after ensuring that the Products have been delivered in good condition.

​

In the event of damage other than that resulting from an inherent defect of the goods or from force majeure, the Buyer alone shall exercise any recourse against the carrier, in accordance with the provisions applicable in Belgium.

​

Notwithstanding any recourse against the carrier, any claim relating to the apparent quality of the Products must be notified to Win4LED SRL by registered letter with acknowledgment of receipt within a maximum period of eight (8) calendar days from delivery. Failing this, the claim will be deemed inadmissible.

​

6. Product returns

​

No return of standard Products will be accepted without the prior written agreement of Win4LED SRL, formalized by a return authorization slip.

​

If accepted by Win4LED SRL, returns must be made carriage paid within eight (8) days following Win4LED SRL’s written approval and sent to the warehouse indicated on the return authorization slip.

​

Returned Products will give rise to the issuance of a credit note only after acceptance and compliant receipt at the designated warehouse.

​

Except in the case of a specific warranty, the credit note will be issued on the basis of 80% of the value of the returned Products.

​

In the event of damage to the returned Products, refurbishment costs will be deducted from the credit note if the Products can be repaired; otherwise, no credit note will be issued.

​

Special Products manufactured to the Buyer’s specifications may not be returned.

​

Part 4 : Articles 7 (Packaging) and 8 (Installation and After-Sales Service)

​

7. Packaging

​

Our Products are packaged in standard packaging for deliveries in Belgium.

​

Special packaging may be produced at the Buyer’s written request at the time the order is placed, for any specific non-standard delivery, subject to an additional charge agreed in advance between the Buyer and Win4LED SRL.

​

8. Installation and after-sales service

​

Win4LED SRL does not carry out the installation of the Products unless otherwise agreed. The Buyer is required to use a specialized installer who must strictly comply with industry best practices and the manufacturer’s specifications.

​

Consequently, Win4LED SRL assumes no obligation to provide advice or information regarding the installation of the Products, the responsibility for which lies exclusively with the installer chosen by the Buyer.

​

Any advice or information that may be provided by Win4LED SRL at the time of sale may under no circumstances be considered as installation instructions giving rise to its liability.

​

Part 5 : Articles 9 (Payment) and 10 (Retention of Title)

​

9. Payment

​

9.1 First order – Discounts

​

For a first order, payment is due upon receipt of the invoice, where applicable after deduction of any deposit paid.

​

Any early payment of a first order compared to the payment due date stated on the invoice will entitle the Buyer to a discount calculated based on the 3-month EURIBOR rate, as from the first day of the month.

​

9.2 Payment terms

​

Unless otherwise agreed, a​ll payments are due within thirty (30) days from the invoice date, without discount.

​

The Products are deemed payable at the registered office of Win4LED SRL. Payment is deemed to have been made on the date the funds are effectively received by Win4LED SRL.

​

In the event of a dispute or partial performance of the contract, payment remains due for the undisputed portion or the portion that has been partially performed.

​

In the event of a sale, assignment, pledge, or contribution to a company of its business assets or equipment by the Buyer, all amounts due shall become immediately payable, regardless of the payment terms previously agreed.

​

9.3 Late payment – Collection costs

​

Any late payment beyond the agreed due dates shall automatically give rise to the application of late payment interest at a rate of 12% per year, calculated from the due date.

​

In the event of late payment, Win4LED SRL also reserves the right to:

​

• (i) suspend or cancel the performance of the contract or of any orders in progress,

• (ii) demand immediate payment of all outstanding amounts,

• amounts due, even if a payment schedule had previously been agreed.

​

In the event of late payment, Win4LED SRL shall also be entitled to claim a flat-rate indemnity of 10% of the principal invoice amount, with a minimum of €125, as collection costs.

​

10. Retention of title

​

Win4LED SRL retains ownership of the delivered Products until full and effective payment of the price in principal and ancillary amounts by the Buyer.

​

In the event of non-payment of any installment, Win4LED SRL may demand the immediate return of the unpaid Products, at the Buyer’s expense and risk.

​

The Buyer:

​

• is prohibited from carrying out any transformation, incorporation, assembly, or installation of the Product before full payment has been made,

​

• undertakes not to resell or pledge the Products that have not been paid for in full,

​

• must keep the Product separate from any other similar goods.

​

In the event of seizure or judicial reorganization proceedings, the Buyer must immediately inform Win4LED SRL and take all necessary measures to protect its rights.

​

In the event that Win4LED SRL claims an unpaid Product, it shall not be required to refund any deposits received.

​

Part 6 : Article 11 (Contractual warranty)

​

11. Contractual warranty

​

This contractual warranty applies only to Products marketed directly by Win4LED SRL. It does not apply to third-party products that may be sold, which are subject to the specific warranties provided by their respective manufacturers.

​

11.1 Obligations of Win4LED SRL

​

Unless more favorable specific provisions apply, Win4LED SRL guarantees the replacement of Products and parts recognized as defective for a period that varies depending on the products, namely:

​

• 2 years

​

From the invoice date, provided the Products are used under normal operating conditions, in compliance with the technical specifications, and with a service life in accordance with the instructions (generally 4,000 hours per year, unless otherwise specified for special products).

​

The warranty does not apply to normal wear and tear of components such as lamps.

​

Any warranty extension must be subject to a prior and specific written agreement between Win4Led SRL and the buyer.

​

11.2 Conditions for the Application of the Warranty

​

The warranty applies only if :

​

The Product has been used, handled, stored, installed, and maintained in accordance with the technical specifications of Win4Led SRL.

​

The Product has not been modified or repaired without the prior authorization of Win4Led SRL.

​

The buyer has complied with the environmental constraints and operating conditions (temperature, humidity, IP rating, etc.).

​

11.3 Notification of Defects

​

The buyer must notify any defect by registered letter with acknowledgment of receipt within 14 days of discovering the defect.

​

The notification must be accompanied by:

​

A copy of the proof of purchase,

​

Any supporting documents relating to the alleged defect.

​

Failing this, Win4Led SRL may refuse to consider the claim.

​

11.4 Terms of Intervention

​

Upon receipt of a valid claim, Win4Led SRL may, at its discretion:

​

Provide a replacement Product or a spare part,

​

Appoint a technician to carry out an on-site inspection.

​

In the event of replacement, the buyer must return the defective Product at their own expense to the address indicated.

​

If, after assessment, the defect does not fall within the scope of the warranty, Win4Led SRL reserves the right to charge :

​

The cost of replacement,

​

Transportation costs,

​

As well as any ancillary costs (travel, diagnostics, etc.).

​

11.5 Warranty Exclusions

​

The warranty does not cover :

​

Normal wear and tear,

​

Damage resulting from misuse, overvoltage, non-compliant installation, or inadequate maintenance,

​

Incidents caused by force majeure (lightning, flooding, fire, etc.),

​

Ancillary costs such as installation, dismantling, or transport expenses not expressly covered.

​

The following are not covered by the warranty :

​

Defects related to electrical power supply outside specified tolerances,

​

Wear parts (lamps, batteries, consumables),

​

Defects resulting from excessive use (over 4,000 hours per year, unless otherwise specified).

​

Specifically for LED luminaires:

​

Win4Led SRL’s liability shall not be engaged if :

The failure rate is below 0.2% per 1,000 hours of operation,

The luminous flux decreases by less than 0.6% per 1,000 hours,

Fewer than 10% or three LEDs (whichever is lower) are defective.

​

11.6 Buyer’s Obligations

​

To benefit from the warranty, the buyer must:

​

Notify Win4Led SRL immediately,

​

Facilitate any inspection or assessment,

​

Not carry out any work themselves or have a third party intervene without prior written consent.

​

Part 7 : Articles 12 (Liability), 13 (Confidentiality), and 14 (Force Majeure)

​

12. Liability

​

Win4Led SRL’s liability is strictly limited to the repair of direct material damage suffered by the buyer resulting from improper performance of its contractual obligations.

​

Except in cases of gross negligence or willful misconduct, Win4Led SRL shall under no circumstances be required to compensate:

​

The harmful consequences of faults committed by the buyer or third parties,

Intangible and/or indirect damages such as loss of business, loss of profits, loss of clientele, or any other financial loss.

​

In any event, unless expressly agreed otherwise, the cumulative liability of Win4Led SRL is capped at the total amount received for the supply of the Product or the service concerned as of the date of the claim.

​

The buyer undertakes to ensure that its insurers and contractual partners waive any right of subrogation beyond the limits set forth.

​

Win4Led SRL shall incur no liability in the event of:

​

Errors or omissions by the buyer in defining their requirements,

Inaccurate information provided by the buyer.

​

Finally, Win4Led SRL does not guarantee uninterrupted or error-free operation of its e-shop and disclaims all liability for any damage arising from the use of the website or the Internet.

​

13. Confidentiality

​

Win4Led SRL retains ownership of all studies, plans, models, and technical or commercial documents communicated to the buyer.

​

These documents are confidential: the buyer is prohibited from reproducing, disclosing, or transmitting them to third parties without the prior written authorization of Win4Led SRL.

​

This confidentiality obligation remains applicable even after the end of the commercial relationship.

​

14. Force majeure

​

Win4Led SRL may suspend or cancel its contractual obligations in the event of force majeure.

​

In particular, the following are considered cases of force majeure, without this list being exhaustive :

​

Total or partial internal or external strikes,

​

Natural disasters (storms, floods, etc.),

​

Fires, explosions,

​

Armed conflicts, acts of terrorism,

​

Power outages, disruption of transportation systems,

​

Shortages of raw materials or spare parts,

​

Unforeseen administrative decisions or changes in legislation.

​

If the force majeure event continues for more than 15 days, Win4Led SRL may terminate ongoing orders as of right, without compensation.

​

Part 8 : Articles 15 (Entire Agreement) and 16 (Disputes and Applicable Law)

​

15. Entire Agreement

​

These General Terms and Conditions of Sale, together with any specific terms negotiated between Win4Led SRL and the buyer, constitute the entire agreement between the parties.

​

They cancel and replace all prior oral or written agreements relating to the same subject matter.

​

No forbearance, failure to act, or delay by Win4Led SRL shall be construed as a waiver of its rights under these General Terms and Conditions of Sale.

​

Any deviation from or modification to these General Terms and Conditions of Sale shall only be valid if agreed in writing and signed by both Win4Led SRL and the buyer.

​

16. Contestations

​

Failing an amicable settlement, any dispute relating to these General Terms and Conditions of Sale shall fall within the exclusive jurisdiction of the courts of the Judicial District of Liège, Division of Verviers (Belgium), even in the event of a third-party claim or multiple defendants. 

​

Belgian law shall apply exclusively.
